Why companies take help from registered business agents

The United States is the largest economy in the world and reputed as a very business friendly country in the world. The country always endeavors to help people start business and prosper in businesses. It helps the country’s economy by adding to their GDP and creating local jobs and many other opportunities for the common people. The business environment is quite healthy and competitive when there is more number of companies conducting same or similar business.

In the United States, states make their own rules and regulations for business companies, state tax etc. These rules and regulations are frequently updated and tweaked by various states to attract more business and investment. It helps in growing their individual states’ economy and help generating more jobs and other opportunities. This also creates competition among various states and every state prefers to make rules and regulations that will keep them ahead of other states.

States specific company, state tax rules etc become challenging for LLCs and other small businesses especially if they intend to have businesses in more than one state. State rules require companies to have their business agents in the states where they are conducting business. These business agents should have local physical address in the states where LLCs are conducting business. The states would send public notices and other details to the addresses of LLCs’ business agents.

Registered business agents not only help LLCs in LLC formations but they also act as their registered business agent in the states where LLCs have business operations. They provide their address to the respective states as required by states’ rules.

Generally, LLCs are small business entities and they operate with minimal resources in their initial years of foundation. They do not have resources in every state that they intend to do business or have business and hence they prefer to use the services of registered business agents in the states where they do not have in-house authorized business agents.

LLCs prefer to use the services of professional registered business agent right from the stage of LLC formations to complying with states’ rules and regulations during the stage of their business operations. Small companies with limited resources prefer professional business agents for compliance responsibilities.

These professional registered business agents also receive state of process (SOP) on behalf of their LLCs if the LLC gets into legal action such as summons etc. They also forward any official documents including tax notices to their LLC clients and other business entities.

The businesses do not want to run the risks of penalties, fines etc in absence of registered business agents as required by state laws and legislations. The companies may also face suspension or termination of business/services if they do not have business agents who are located in the state with a physical address in that state or a registered business agent in that state. That business may not be allowed to do business in other states.

Hence, businesses prefer to comply with the legal requirement of states for businesses to have either business agents with physical address in that specific state or have registered business agent. Businesses prefer to have registered business agents as they are professional companies to act as business agents for companies. This frees the management of the companies from legal compliance issues and they can focus on core functions of the business.
