In the event that the services are not used or the benefits sought are not obtained then the rights revert back to the advertiser or sponsor and they can incur the cost again.

A suitable placement firm should not only advise you on how to maximize the exposure of your products or services but also ensure that you do not violate any laws at the national, regional or local level. Where appropriate they should also ensure that no infringement of any copyright law occurs either at the national, regional or local level. They should also ensure that no unfair trade practice is engaged in either through the supply of media or any other form of association. Any such actions constitute unfair competition and should subject the advertiser or sponsor to fines or penalties that fully comply with all applicable laws.

The contracts must specify as to what can be done or can be attempted by either party to prevent breaches thereof. The exact wording should be drafted to avoid any ambiguity. Any agreements for the provision of the services that include a clause whereby one party shall incur additional costs if the other party does not comply with the terms hereunder shall be deemed to be enforceable notwithstanding the effect of the foregoing. Any agreement to provide services for which payment is not effected by the date hereunder shall be deemed to have been provided for less than effective date hereunder.

Any agreement for the provision of the services hereunder without specific reference to the effect of any expenditure hereunder, inclusive of the amount of damages which shall be inflicted upon the recipient or third party shall not be enforceable. It shall be held harmless if it is proved that the acceptance of the services was both voluntary and in accordance with the provisions here under. The parties involved hereunder are entitled to submit written agreements for the purpose of protection from enforcement. In such cases, if the infringer is not a party to the contract, the Court may award costs against the third party providing hereunder the services.
